These Terms of Service (“Terms”) govern your access to and use of websites, applications, reporting tools, dashboards, integrations, and related services provided by Legit Click Media, LLC (“Legit Click Media,” “we,” “us,” or “our”), including Legit Click Media Reporting (collectively, the “Services”).
By accessing or using the Services, creating or using an account, connecting a third-party account, or authorizing us to provide Services on your behalf, you agree to these Terms. If you are using the Services on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.
If you or your organization has entered into a separate written services agreement, statement of work, order form, or other agreement with Legit Click Media, that agreement will also apply. If there is a direct conflict between these Terms and a signed written agreement, the signed written agreement will control for the subject of the conflict.
The Services are intended primarily for business and professional use. You may use the Services only if you are legally capable of entering into a binding agreement and are authorized to access the accounts, data, properties, advertising accounts, analytics properties, business profiles, customer relationship management systems, call-tracking systems, or other resources you connect to or ask us to access.
You are responsible for ensuring that anyone who accesses the Services through your organization is authorized to do so and complies with these Terms.
Legit Click Media provides digital marketing, reporting, analytics, integration, automation, consulting, and related services. Legit Click Media Reporting is a client-authorized reporting and analytics application designed to consolidate information from approved data sources and make that information available through reports, dashboards, summaries, visualizations, and conversational or AI-assisted reporting features.
The specific features, data sources, integrations, reporting capabilities, service levels, and support available to you may depend on your account, service arrangement, connected platforms, permissions, and any applicable written agreement.
Some Services may require an account, login, access code, single sign-on, OAuth authorization, or other authentication method. You are responsible for maintaining the confidentiality of your credentials and for activity that occurs under your authorized account.
You must promptly notify Legit Click Media if you know or reasonably suspect that an account, credential, authorization token, or connected service has been accessed or used without authorization. You may not share access with an unauthorized person or attempt to bypass security controls, access restrictions, or client-level data boundaries.
You retain ownership of the data, content, records, account information, and other materials that you or your authorized third-party services make available to us (“Client Data”), subject to any rights held by the applicable third-party platform or other data owner.
You authorize Legit Click Media to access, retrieve, copy, store, transform, organize, analyze, and otherwise process Client Data only as reasonably necessary to provide, secure, maintain, troubleshoot, and improve the user-facing Services you have requested, and as otherwise described in our Privacy Policy or an applicable written agreement.
You represent and warrant that you have all rights, permissions, consents, and authority necessary to provide or connect Client Data and to authorize our processing of it. You must not direct us to access data or accounts that you are not authorized to access.
The Services may connect to or use data from third-party platforms, including Google Ads, Google Analytics, Google Search Console, Google Business Profile, Google Local Services Ads, customer relationship management systems, call-tracking platforms, advertising platforms, and other services authorized by you.
Your use of a third-party platform remains subject to that platform’s own terms, policies, permissions, availability, quotas, and technical requirements. When you authorize access to Google services, our access to and use of Google user data is also governed by our Privacy Policy and applicable Google API terms and policies, including the Google API Services User Data Policy.
Legit Click Media does not control third-party platforms. We are not responsible for changes made by a third party to its APIs, data availability, authentication requirements, account permissions, pricing, quotas, product functionality, reporting definitions, or service availability. A third-party change may temporarily or permanently affect a feature of the Services.
The Services may use artificial intelligence, machine learning, automated analysis, or other computational tools to generate reports, summaries, explanations, comparisons, charts, recommendations, or answers to user questions (“Automated Outputs”).
Automated Outputs are generated from the data and instructions available to the system and may contain errors, omissions, incomplete interpretations, or outdated information. Automated Outputs should be reviewed in context and should not be treated as a substitute for professional legal, accounting, tax, financial, medical, or other regulated professional advice.
You are responsible for reviewing Automated Outputs before relying on them for material business decisions or distributing them externally. We may improve or modify the methods used to generate Automated Outputs over time, provided that our handling of connected account data remains subject to our Privacy Policy and applicable agreements.
We use reasonable efforts to provide accurate and useful reporting, but reporting depends on the completeness, timeliness, accuracy, availability, and definitions of the underlying data sources. Data may be delayed, revised, duplicated, omitted, reclassified, unavailable, or affected by platform changes, attribution rules, tracking limitations, integration failures, user configuration, or other factors outside our control.
Unless expressly stated otherwise in a written agreement, the Services do not guarantee that every report, metric, attribution result, conversion, lead, call, transaction, or other record will be complete or error-free. Where practical, the Services may identify known data limitations or freshness information so that users can interpret results appropriately.
You may not use the Services to:
Fees, billing terms, payment schedules, service scopes, and cancellation terms may be set forth in a proposal, statement of work, order form, invoice, subscription arrangement, or other written agreement. You agree to pay applicable fees according to those terms.
Unless otherwise stated in writing, fees paid for Services already performed or periods already provided are non-refundable to the extent permitted by law. We may suspend paid Services for materially overdue amounts after reasonable notice, subject to any applicable written agreement.
Legit Click Media and its licensors own all rights, title, and interest in the Services, including software, application interfaces, workflows, designs, templates, documentation, methods, branding, and other materials developed by or for Legit Click Media, excluding Client Data and third-party materials.
Subject to these Terms and any applicable written agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes during the period in which you are authorized to use them.
You may use reports and other deliverables created specifically for your organization for your internal business purposes and, unless a written agreement states otherwise, for ordinary business communications with your employees, advisors, vendors, and stakeholders. You may not copy or commercialize the underlying application, system, software, or proprietary reporting framework itself without our written permission.
If you voluntarily provide suggestions, ideas, comments, or other feedback about the Services, you grant Legit Click Media permission to use that feedback to improve or develop our services without restriction or compensation, provided that we do not publicly identify you as the source without permission.
Our collection, use, storage, sharing, retention, and deletion of personal information and connected account data are described in our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.
If your use of the Services involves personal information, confidential information, or regulated data, you are responsible for determining whether additional contractual, legal, security, or compliance requirements apply to your organization. Unless expressly agreed in writing, you should not use the Services to submit or process data that is subject to specialized regulatory requirements that Legit Click Media has not agreed to support.
In the course of providing Services, each party may receive non-public business, technical, financial, operational, or other confidential information from the other. Each party will use reasonable care to protect confidential information and will use it only for purposes related to the Services, except where disclosure is authorized by the disclosing party or required by law.
Information is not confidential to the extent it is publicly available through no breach of obligation, was already lawfully known without a duty of confidentiality, is received lawfully from another source without a confidentiality restriction, or is independently developed without use of the other party’s confidential information. A separate written agreement may impose additional confidentiality obligations.
We may update, improve, modify, add, remove, or discontinue features of the Services from time to time. We may also offer preview, experimental, beta, or early-access features that are still under development. Such features may change materially, may contain additional limitations, and may be discontinued.
We do not guarantee uninterrupted or error-free availability unless a specific service level has been expressly agreed to in writing. Maintenance, security events, internet failures, cloud-provider outages, third-party API changes, and other circumstances may affect availability.
You may stop using the Services at any time, subject to any payment, notice, term, or cancellation obligations in an applicable written agreement.
We may suspend or restrict access to the Services if reasonably necessary to protect security, prevent unauthorized use, address a material violation of these Terms, respond to a legal requirement, address nonpayment, or protect the integrity of our systems or those of a client or third party. Where reasonably practical, we will provide notice and an opportunity to cure before terminating access for a remediable contractual violation.
Upon termination or expiration, your right to use the Services ends, except for provisions that by their nature should survive, including provisions concerning payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and dispute terms. Data retention and deletion after termination are governed by our Privacy Policy and any applicable written agreement.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT FOR ANY EXPRESS WARRANTIES IN A SIGNED WRITTEN AGREEMENT, LEGIT CLICK MEDIA DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM DATA DELAYS OR INACCURACIES, OR THAT ANY PARTICULAR BUSINESS, MARKETING, ADVERTISING, RANKING, LEAD, REVENUE, OR OTHER RESULT WILL BE ACHIEVED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGIT CLICK MEDIA AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF LEGIT CLICK MEDIA FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID TO LEGIT CLICK MEDIA BY THE APPLICABLE CLIENT FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. IF NO AMOUNT WAS PAID FOR THE APPLICABLE SERVICE, OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED $100.
Some jurisdictions do not allow certain limitations of liability or exclusions of warranties, so some of the above limitations may not apply to you.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Legit Click Media and its owners, employees, contractors, and affiliates from third-party claims, damages, losses, liabilities, and reasonable costs arising from your material violation of these Terms, your unlawful or unauthorized use of the Services, your violation of another party’s rights, or Client Data that you were not authorized to provide or connect.
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise. Unless a separate written agreement provides a different dispute procedure or venue, any legal action arising out of or relating to these Terms or the Services will be brought in a state or federal court with jurisdiction in or serving Brown County, Wisconsin, and each party consents to the personal jurisdiction of those courts.
We may update these Terms from time to time to reflect changes in the Services, applicable law, third-party requirements, or our business practices. The effective date at the top of this page will identify the current version. If a change materially affects an existing paid client’s rights or obligations, we will provide reasonable notice when required by applicable law or an applicable written agreement.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law. If you do not agree to updated Terms, you should stop using the affected Services and contact us regarding any applicable contractual obligations.
Neither party will be responsible for a failure or delay caused by circumstances beyond its reasonable control, except for payment obligations. If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be interpreted as closely as possible to its intended effect.
A failure to enforce a provision of these Terms is not a waiver of that provision. You may not assign your rights or obligations under these Terms without our prior written consent, except in connection with a merger, acquisition, or sale of substantially all of your business assets and subject to any applicable written agreement. Legit Click Media may assign these Terms in connection with a merger, reorganization, sale of assets, or transfer of the applicable business.
These Terms, together with our Privacy Policy and any applicable signed written agreements, order forms, statements of work, or service-specific terms, constitute the agreement governing your use of the Services.
